  1. LOKASOFT FREEWARE END USER LICENSE AGREEMENT

  3. Software License agreement for Little ChessPartner (TM)

  6. YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS 
  7. BEFORE USING THE SOFTWARE WHICH CAN BE DOWNLOADED FROM THE 
  8. LOKASOFT WEBSITE, ALONG WITH ANY ACCOMPANYING DOCUMENTATION (THE 
  9. SOFTWARE AND ITS DOCUMENTATION WILL BE REFERRED TO HEREIN AS 
  10. THE "SOFTWARE").

  12. YOUR USE OF THE SOFTWARE MEANS THAT YOU ACCEPT THESE TERMS AND 
  13. CONDITIONS. IF YOU DO NOT AGREE WITH THESE TERMS AND 
  14. CONDITIONS, THEN LOKASOFT IS UNWILLING TO LICENSE THE SOFTWARE 
  15. TO YOU, AND YOU SHOULD NOT USE THE SOFTWARE.  BY INSTALLING, 
  16. DOWNLOADING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU 
  17. ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, 
  18. UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.  IF YOU DO NOT 
  19. AGREE TO THESE TERMS AND CONDITIONS, YOU ARE NOT AUTHORIZED AND 
  20. MAY NOT USE THE SOFTWARE.

  23. 1.  LICENSE GRANT.  Subject to the terms and conditions of this Agreement,
  24. Lokasoft hereby grants to you a non-exclusive, non-transferable right to
  25. use, copy and distribute solely for Non-Commercial Purposes (as defined
  26. below) the Software and the accompanying documentation (the "Documentation").    
  27. a. For purposes of the foregoing, "non-commercial purposes" means
  28. non-commercial, non-governmental use, including, without limitation, 
  29. home use, use on a personal website, student or academic use, or use by
  30. non-profit human rights organizations.  The Software is "in use" when it
  31. is loaded into the temporary memory (i.e., RAM) or installed into the 
  32. permanent memory (e.g., hard disk, CD ROM, or other storage device) of
  33. a computer for the purpose of being accessible in client-mode by an end user.  
  34. b. You may make exact, unmodified copies of the Software and distribute
  35. such copies solely (i) by electronic means; (ii) for Non-Commercial
  36. Purposes; and (iii) with all proprietary notices (including without
  37. limitation all copyright notices and this End User License Agreement)
  38. intact and unmodified or obscured.

  40. 2.  RESTRICTIONS.  You may not rent, lease, loan or resell the 
  41. Software. You may not transfer any of the rights granted to you
  42. under this Agreement.  You may not reverse engineer, decompile, or
  43. disassemble the Software, except to the extent the foregoing restriction
  44. is expressly prohibited by applicable law.  You may not modify, or
  45. create derivative works based upon, the Software in whole or in part.
  46. You may not copy the Software or Documentation except as expressly permitted
  47. in Section 1 above.  You may not remove any proprietary notices or labels
  48. on the Software.  All rights not expressly set forth hereunder are reserved
  49. by Lokasoft.

  51. 3.  TERMINATION OF THIS LICENSE.  Lokasoft may terminate 
  52. this license at any time if you are in breach of any of these 
  53. terms and conditions of use.  Upon such termination you must 
  54. and agree to immediately destroy all copies of the SOFTWARE.
  55.  
  56. 4.  UPDATES.  Lokasoft does not offer technical support for the
  57. Software, however, Lokasoft welcomes your feedback.

  60. 5.  OWNERSHIP RIGHTS.  The Software is protected by United States copyright
  61. laws and international treaty provisions. Lokasoft own and retain all rights,
  62. title and interest in and to the Software, including all copyrights, patents,
  63. trade secret rights, trademarks and other intellectual property rights therein.
  64. Your possession, installation, or use of the Software does not transfer to
  65. you any title to the intellectual property in the Software, and you will not
  66. acquire any rights to the Software except as expressly set forth in this
  67. Agreement.  All copies of the Software and Documentation made hereunder must
  68. contain the same proprietary notices that appear on and in the Software and
  69. Documentation.

  71. 6.  DISCLAIMER.  THE SOFTWARE IS PROVIDED "AS-IS."  LOKASOFT 
  72. MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS
  73. OR IMPLIED, AS TO THE SOFTWARE OR ITS OPERATION.  TO THE FULL
  74. EXTENT PERMISSIBLE BY APPLICABLE  LAW, LOKASOFT DISCLAIMS ALL
  75. WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO,
  76. IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
  77. PARTICULAR PURPOSE, AND ANY WARRANTIES OF NON-INFRINGEMENT.
  78. SOME JURISDICTIONS DO NOT ALLOW OR OTHERWISE GOVERN THE SCOPE
  79. OF EXCLUSIONS OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS
  80. MAY NOT APPLY IN FULL.

  82. 7.  LIMITATION ON DAMAGES.  IN NO EVENT SHALL LOKASOFT BE 
  83. LIABLE TO ANY PARTY FOR DIRECT, INDIRECT, SPECIAL OR OTHER 
  84. CONSEQUENTIAL OR INCIDENTAL DAMAGES ARISING DIRECTLY OR 
  85. INDIRECTLY FROM THE USE OF THE SOFTWARE, INCLUDING BUT NOT 
  86. LIMITED TO ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF 
  87. PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM OR 
  88. OTHERWISE, EVEN IF LOKASOFT HAS BEEN EXPRESSLY ADVISED OF 
  89. THE POSSIBILITY OF SUCH DAMAGES.

  91. 8.  MISCELLANEOUS. This License agreement is governed by
  92. the laws of the Netherlands.
